Penguin Solutions, Inc. (NASDAQ:PENG) stock is trading lower after the company announced Friday the closing of its previously announced private offering of $750 million aggregate principal amount of 0% convertible senior notes due 2031.
The stock experienced downward pressure following the announcement of the debt refinancing and exchange transactions. The Nasdaq is up 0.68% while the S&P 500 has gained 0.22%.
Penguin Solutions Raises $750 Million In Convertible Notes
The $750 million total includes $100 million in notes issued after initial purchasers fully exercised their option. The senior, unsecured obligations will mature on August 1, 2031, bearing a 0% coupon with a 50% conversion premium.
Penguin entered into capped call transactions to mitigate dilution, anticipating no net dilution until the stock price exceeds approximately $175.05 per share.
Debt Exchange Mechanics
Concurrently, the company is exchanging approximately $135.5 million principal of 2% convertible senior notes due 2029 and $160 million principal of 2% convertible senior notes due 2030 for a combination of cash and common stock.
The company stated the net proceeds will fund the capped calls, the cash portion of the note exchanges, and the repayment of borrowings under its existing credit agreement.

“Demand for memory and AI infrastructure is accelerating as inference and agentic AI workloads move into production at scale,” said Kash Shaikh, CEO of Penguin, in the company’s press statement.
“This offering extends our debt maturities, reduces cash interest expense, and provides additional strategic flexibility to invest in our AI Factory Platform growth strategy, which is designed to be capital efficient.”
PENG Stock: Key Levels and Momentum Analysis
The bigger-picture trend is still up, but the near-term trend has cracked: the stock is trading 22.6% below its 20-day SMA ($68.95) and 12.5% below its 50-day SMA ($61.05).
At the same time, it remains 27.6% above the 100-day SMA ($41.86) and 70.6% above the 200-day SMA ($31.29), which is why longer-term bulls may still view this as a pullback inside a broader uptrend.
Structurally, the stock still carries a bullish backdrop from the golden cross in May (50-day SMA above the 200-day SMA).
Traders will likely watch whether the stock can stabilize and reclaim the 50-day area, or whether this turns into a deeper mean reversion toward the 100-day zone.
