T1 Energy Inc. (NYSE:TE) shares are trading lower after the company announced its preliminary financial and operating results for the second quarter of 2026. The company also announced the acquisition of solar patents and related assets.

Q2 Preliminary Results
T1 Energy expects sales of approximately $245 million-$255 million (versus consensus of $193.5 million), supported by module shipments of around 835 MW.
The company projects a net loss from continuing operations of approximately $34 million to $37 million for the quarter.
Adjusted EBITDA is expected to range of -$14.5 million and -$11.5 million, excluding around $24.4 million in tariff refunds related to the International Emergency Economic Powers Act (IEEPA).
T1 Energy sold its remaining 2025 Section 45X tax credits for $39.1 million at 93 cents per dollar and started discussions to monetize 2026 tax credits.
As of June 30, T1 held $156.4 million in cash, cash equivalents, and restricted cash.
Project Update
The company said the construction at G2_Austin progressed, with steel work 80% complete. T1 raised Phase 1 capex guidance to $510 million from $425 million due to higher labour and material costs, delaying first solar cell production to the first quarter of 2027.
T1 expects 2026 G1_Dallas production to reach the upper end of its 3.1 GW-4.2 GW target range, supported by new international cell supplier qualifications.
Solar Patents Acquisition
In a separate release today, the company disclosed the buyout of foundational solar patents, intellectual property, and related assets for total consideration of $135 million.
The company will acquire the assets from Singapore-based Evervolt Green Energy Holding.
The assets include acquired Tunnel Oxide Passivated Contact (TOPCon) solar cell and module technology, which T1 considers one of the most advanced commercially viable high-efficiency solar technologies.
Under the agreement, T1 initially paid $2 million in cash to secure acquisition rights, with the remaining $133 million payable in four installments: $60 million due shortly after closing on July 28, 2026, followed by $25 million on Sept. 30, $30 million on Oct. 15, and $18 million on Oct. 30.
T1 plans to fund the first tranche through the issuance of common shares, while future payments may be made in cash, stock, or a combination at the company’s discretion.
