H.B. Fuller Company (NYSE:FUL) shares fell on Wednesday after significant shareholder Ancora Holdings Group proposed acquiring the company’s Building Adhesive Solutions segment for $1.1 billion to $1.2 billion in cash.

Ancora said it privately approached H.B. Fuller President and CEO Celeste Mastin and board chair Rasmussen on July 7, 2026, but did not receive a substantive response.

The shareholder argued that selling the Building Adhesive Solutions business would help H.B. Fuller reduce debt, focus on integrating Advanced Medical Solutions plc, and continue executing Project Quantum Leap.

Ancora also said the transaction would allow H.B. Fuller to exit a lower-margin business operating in a fragmented market.

Proposal Terms and Conditions

The proposal is non-binding and remains subject to confirmatory due diligence, board and any required shareholder approvals, regulatory and third-party clearances, and the negotiation of a definitive agreement.

Ancora said the offer would not include a financing contingency and that it is prepared to sign a confidentiality agreement and begin due diligence immediately.

The firm added that it could raise its proposed price if the review identifies additional value in the business.

Ancora has asked H.B. Fuller’s independent directors to indicate whether the company is willing to explore a deal. It also reserved the right to modify or withdraw the proposal before a binding agreement is signed.
