Shares of Madison Air Solutions Corp (NYSE:MAIR), an air quality provider, are trading lower on Monday after the company agreed to acquire ebm-papst for $5.4 billion.

Shares faced pressure as investors weighed transaction financing risks, including potential dilution from planned equity offerings.

Deal Adds Scale and Expands Addressable Market

The purchase price falls to $5 billion net of future tax savings, representing 14.6 times forecasted 2026 adjusted EBITDA. Including expected run-rate synergies, the purchase price represents 10 times adjusted EBITDA.

Madison Air said the acquisition will nearly double its addressable market, adding about $30 billion in opportunity while expanding its commercial, aftermarket and services businesses.

Germany-based ebm-papst supplies high-performance airflow technology and integrated EC fan and motor systems.

The company operates in about 40 countries. It expects roughly $2.8 billion in 2026 revenue and $343 million in adjusted EBITDA.

Madison Air Targets $160 Million in Synergies

Madison Air expects the transaction to be accretive to adjusted EPS in the first full year after closing. The company projects $160 million in annual run-rate cost synergies by year three.

The acquisition also strengthens vertical integration by adding ebm-papst’s airflow technology portfolio, supported by more than 1,200 patents.

Financing and Closing Timeline

Madison Air plans to fund the acquisition with cash, debt and equity financing. UniCredit and Wells Fargo have provided fully underwritten commitments for the debt portion.

The company expects pro forma net leverage below 4 times at closing and plans to reduce it to about 2.5 times within two years.

The transaction is expected to close around year-end, subject to regulatory approvals and customary closing conditions.

"The acquisition nearly doubles our addressable market, broadens our aftermarket and services opportunity, and further strengthens our long-term growth profile," President and CEO Jill Wyant said.

As of June 30, 2026, the company had $261.8 million in cash and cash equivalents, with $1.29 billion available under its revolving credit facility.

MAIR Stock: Key Levels and Momentum Analysis

MAIR is trying to stabilize after a volatile stretch that included a June 52-week high and a July swing low.

At $32.94, the stock sits near the middle of its $27.38-$44.50 52-week range and remains about 10% below the 50-day SMA of $35.51, keeping the intermediate trend cautious.

The broader technical picture remains mixed but constructive. Shares are above the 100-day SMA of $31.64 and well above the 200-day SMA of $17.83.

However, the 20-day SMA remains below the 50-day, suggesting rallies could stay choppy until MAIR reclaims that level.

Momentum is improving, with MACD above its signal line and the histogram positive, indicating easing selling pressure and stronger upside momentum.
