Gossamer Bio, Inc. (NASDAQ:GOSS) shares traded lower Friday as investors weighed a structured private placement offering up to $250 million in financing tied to key FDA milestones for seralutinib.

The pullback followed an earlier premarket surge, when Gossamer Bio jumped 31.55% to 21 cents, with a market capitalization of about $76.9 million.

Gossamer Bio Secures Up To $250 Million

Gossamer Bio announced a structured private placement expected to provide up to $250 million in gross proceeds.

The financing includes $150 million of committed capital to help fund seralutinib through a potential FDA approval pathway.

About $25 million will be funded at the initial closing, while roughly $125 million is contingent on FDA acceptance of the seralutinib NDA for pulmonary arterial hypertension. The company could receive another $100 million upon FDA approval.

FDA Milestones Put Seralutinib In Focus

Gossamer Bio is a clinical-stage biopharmaceutical company developing therapies across immunology, inflammation and oncology.

Its pipeline includes seralutinib, which targets cellular overgrowth, fibrosis and vascular remodeling associated with pulmonary arterial hypertension.

The company plans to submit the NDA in September. Much of the potential financing therefore depends on NDA acceptance and possible FDA approval.

For investors, the financing could support Gossamer Bio’s cash runway, while dilution risk and milestone-dependent funding remain considerations.

Gossamer ended June with $57 million in cash and investments, enough to fund operations into the first quarter of 2027. Q2 revenue fell to $9.2 million, while R&D expenses declined to $26.4 million.

Analysts Remain Bullish On GOSS

The stock carries a Buy rating. Recent analyst actions include:

  • Piper Sandler maintained Overweight and lowered its price target to $4 on Aug. 14.
  • Leerink Partners upgraded GOSS to Outperform and maintained a $1 target on July 28.
  • HC Wainwright & Co. maintained Buy and a $2 target on July 27.
