Western Digital Corporation (NASDAQ:WDC) stock is trading higher as the company entered into separate, privately negotiated exchange agreements on Wednesday, according to a Form 8-K filed with the U.S. Securities and Exchange Commission.

The company signed the agreements with certain holders of its 3% Convertible Senior Notes due 2028.

Western Digital is paying off $191 million of its convertible debt early through a private swap deal with specific investors, combining cash and newly issued stock.

Under the terms, holders agreed to exchange approximately $191 million aggregate principal amount of notes for cash and equity.

The transaction involves paying approximately $192.7 million in cash, which covers the principal amount and accrued, unpaid interest.

Why It Matters?

  1. It will reduce the overall debt obligations set to mature in 2028.
  2. It eliminates the ongoing 3% interest payments on $191 million of notes over the next two years.
  3. Paying the base principal entirely in cash keeps stock dilution lower than if the whole debt converted into shares.

Technical Setup

From a trend perspective, WDC is still in a longer-term uptrend, trading 22.8% above its 200-day simple moving average ($361.14), but the shorter-term picture has weakened. The stock is 8.1% below its 20-day SMA ($482.80) and 18.5% below its 50-day SMA ($544.31), which keeps rallies vulnerable to selling pressure.

The 20-day SMA sitting below the 50-day SMA is a bearish crossover that often shows a market that’s losing upside momentum after a strong run. At the same time, the 50-day SMA remaining above the 200-day SMA keeps the bigger-picture trend constructive, even if the stock is working through a drawdown.

MACD is the cleaner momentum read right now: it’s below its signal line and the histogram is negative, which points to fading upside pressure versus the prior upswing.

Key levels are tight enough to matter quickly if volatility picks up after the open:

  • Key Resistance: $525 — a round-number area near the 50-day zone where rebounds can stall
  • Key Support: $430.50 — a nearby floor that lines up with a recent pivot area traders may defend
