Aurora Cannabis Inc. (NASDAQ:ACB) urged shareholders Wednesday to reject an unsolicited takeover bid from Curaleaf Holdings Inc. (OTC:CURLF).

Aurora’s board unanimously concluded that the offer undervalues the company and threatens future shareholder returns. It advised investors to take no action and not tender their shares. The board also urged shareholders who already accepted the offer to withdraw their shares.

The board of directors unanimously advised shareholders to reject an unsolicited hostile takeover attempt, warning that accepting the proposal would put shareholder value and future upside at serious risk.

Board Rejects Takeover Proposal

Following a comprehensive review by a special committee of independent directors and input from financial and legal advisors, the board concluded the unsolicited takeover is not in the best interest of the business or its investors.

Leadership urges equity holders to take no action, refrain from tendering, and immediately withdraw any previously submitted shares.

Financial Risks And Shareholder Rights

The board stated that the acquisition bid significantly undervalues Aurora without offering an appropriate control premium.

Furthermore, Curaleaf holds over $1 billion in debt, whereas Aurora remains completely debt-free with roughly $149 million in cash reserves.

Directors noted that Curaleaf intends to use those shareholder funds to repair its own balance sheet while acquiring Aurora assets at a steep discount.

Accepting the offer would expose investors to Curaleaf’s share price volatility, high-cost leverage, regulatory risks, tax uncertainties, and weak corporate governance structure.

Aurora shareholders would also lose influence, taking a 7.7% stake in the combined entity but retaining just 3.2% of total voting power due to Curaleaf’s multi-voting share design.

Stronger Standalone Growth Strategy

Leadership emphasized that Aurora’s standalone operational plan offers far superior long-term returns.

Over several years, the company built an international medical cannabis platform featuring high-capacity EU-GMP manufacturing facilities, which continues delivering record international revenues and industry-leading operating margins.

Handing over these assets benefits Curaleaf at the direct expense of existing investors, who risk surrendering value ahead of future growth.

ACB Price Action: Aurora Cannabis shares were down 0.74% at $4.01 at the time of publication on Wednesday, according to Benzinga Pro data.
