Shares of Farmmi Inc. (NASDAQ:FAMI) are soaring Wednesday afternoon, despite a lack of company-specific news for the session. The stock is surging despite persistent liquidity concerns and an ongoing threat of delisting from the Nasdaq.

Nasdaq Delisting Threat Overhangs Rally

Despite Wednesday’s rally, Farmmi faces a structural hurdle following an August 11 notification from Nasdaq stating the company failed to meet the $1.00 minimum bid price requirement after its stock closed below the mark for 30 consecutive business days.

The company has a 180-day grace period ending February 8, 2027, to regain compliance, with management considering remedies including a reverse stock split.

Brazilian Agreement Signals Commodity Pivot

Amid listing pressures, Farmmi is seeking to diversify beyond its core Chinese edible mushroom processing business. On Aug. 4, the company signed a framework agreement to potentially acquire 100% of Four Seasons Holding Group Brazil, a Chapecó-based agricultural supply chain manager.

The proposed all-equity transaction would expand Farmmi’s trading scope into Latin American commodities, including soybeans, sugar, poultry and beef.

Capital Dilution Concerns Meet High-Yield Macro Environment

However, balance sheet constraints and potential share dilution continue to shadow long-term investor sentiment following Farmmi’s June 30 closure of an underwritten public offering that raised $3.0 million at 25 cents per share.

Regulatory disclosures released on Aug. 27 highlighted going-concern risks and elevated near-term obligations totaling $7.9 million due within 12 months, including $2.5 million in promissory notes and $5.4 million in operating leases, against cash reserves of $0.2 million.
