Tuesday’s steep drop is primarily driven by the expiration of selling restrictions on approximately 9.35 million shares, representing nearly 59% of the company’s total outstanding equity and a vast majority of its public float.
With early pre-IPO investors and management holding equity acquired well below the company’s $5.00 March 2026 IPO price, and the stock currently trading significantly higher at around $24 per share, the lock-up expiration is creating heavy selling pressure as insiders move to realize gains.
Dilution Risks Around $224 Million Ratel Robotics Deal Weight on Fundamentals
Tuesday’s decline also follows Swarmer’s September 10 definitive agreement to acquire Ukrainian unmanned ground vehicle manufacturer Ratel Robotics for up to $224 million in cash and stock.
While the acquisition expands Swarmer’s defense portfolio into battlefield robotics and integrates Ratel’s $86 million in contracts secured year-to-date in 2026 under NATO’s “Build With Ukraine” framework, investors potentially remain concerned about equity dilution.
In its second-quarter financial report delivered on August 13, Swarmer generated just $216,000 in revenue alongside a $7.3 million net loss, making stock issuance the primary currency for the deal and creating a valuation overhang.
Macro Rate Pressure Hits High-Multiple Defense Technology
The company-specific selling is further amplified by escalating macroeconomic headwinds across high-beta growth stocks. With the 10-year Treasury yield standing at 5.07%, its highest level since 2007, ahead of Wednesday’s Federal Reserve interest rate decision, elevated risk-free rates continue to compress price-to-sales multiples for non-profitable tech stocks.
