Strategy Inc. (NASDAQ:MSTR) shares are trading lower Tuesday as Bitcoin declines following reports that Senate Republicans rejected a Democratic counteroffer on the CLARITY Act ahead of a key procedural vote scheduled for this afternoon.

Senate Republicans Reject Democratic Counteroffer On CLARITY Act

Republican lawmakers turned away a compromise floated by Democrats on the CLARITY Act without further negotiation, according to market commentator Scott Melker, just hours before today’s scheduled cloture vote. Betting activity on Polymarket swung sharply as the drama unfolded, with odds of the bill becoming law spiking to 35% Sunday before sinking back to 16% once key Democrats rejected the latest ethics changes, Cointelegraph reported. Sen. Mark Warner argued the strengthened language still fell short, calling it not “near enough,” while other Democrats pushed for stronger enforcement provisions.

Treasury Secretary Scott Bessent argued the bill would give his department more tools to crack down on evasion, while Coinbase and the Blockchain Association urged senators to advance the legislation, warning a failed vote could push crypto activity overseas. Opposition wasn’t limited to ethics concerns, either: banking groups warned the bill still leaves stablecoin reward loopholes open, while the Indian Gaming Association raised concerns over tribal sovereignty.

Today’s vote itself wouldn’t enact anything on its own. Clearing the 60-vote threshold would simply allow the chamber to begin debate, with a final vote requiring only a simple majority. Republicans hold 53 seats, meaning they’d need roughly seven to 10 Democrats to cross over just to move forward.

Why This Matters For Strategy

Strategy’s stock is effectively a leveraged proxy for Bitcoin (CRYPTO: BTC), given the company holds a large treasury of the cryptocurrency on its balance sheet, so today’s decline in Bitcoin prices directly weighs on MSTR shares. A stalled CLARITY Act could also carry longer-term implications, since clearer market-structure rules are widely seen as a prerequisite for greater institutional adoption of Bitcoin.
