Generation Income Properties Inc. (NASDAQ:GIPR) shares are trading sharply higher Friday afternoon after the real estate investment trust revealed a $4.28 million warrant exercise transaction.

Inside the $4.3 Million Warrant Inducement Agreement

The Tampa-based firm has entered into a warrant inducement agreement with an investor. This deal prompts the immediate exercise of specific outstanding warrants that were previously issued in June 2026. Under this agreement, the investor will purchase 4,074,359 shares of common stock at an exercise price of $1.05 per share.

The transaction is expected to yield approximately $4,278,076 in gross proceeds before financial advisory fees and estimated offering expenses are deducted.

To incentivize this immediate cash exercise, Generation Income Properties agreed to issue unregistered reload warrants to the investor for the purchase of an aggregate 8,148,718 additional shares at the same $1.05 exercise price.

Maxim Group LLC acted as the financial advisor for the deal, which is expected to close on or about Sept. 21.
