Xanadu Quantum Technologies Ltd. (NASDAQ:XNDU) shares are trading modestly higher Wednesday morning as the stock rebounds from a Tuesday sell-off triggered by the expiration of its post-merger lockup period that added roughly 255 million shares to the public float.

Mechanics of Lockup Expirations

The sharp decline seen on Tuesday stems from fundamental supply-and-demand mechanics. During the initial 180 days following a public debut, early venture investors, company founders and executives are legally restricted from selling their shares.

This agreement keeps the publicly tradable stock supply small, in this case, restricted to just 43 million shares. When the 180-day window closes, those legal restrictions drop, and a massive wave of equity suddenly becomes available for open-market trading.

Expanding the tradeable share pool by 255 million shares creates an immediate market imbalance, as the sudden surge in available supply overwhelms existing buyer demand and forces the stock price down as early holders take profits.
