Shares of Summit Therapeutics Inc. (NASDAQ:SMMT) moved higher in Wednesday afternoon trading, extending gains from the previous session following a landmark $2 billion strategic equity investment from pharmaceutical titan AstraZeneca to accelerate the clinical development of ivonescimab.

Here’s what investors need to know.

$2 Billion Strategic Equity Injection

Late Monday, Summit announced that AstraZeneca agreed to invest $2 billion in newly issued convertible preferred shares. At the conversion ratio, the investment equates to an implied common stock price of $18.36 per share.

The multi-billion-dollar capital commitment provides Summit with substantial balance sheet runway to advance ivonescimab, its investigational potential first-in-class bispecific antibody targeting PD-1 and VEGF. Closing of the preferred stock investment is expected within one week, subject to customary regulatory clearances.

Strategic Oncology Clinical Collaboration

Alongside the equity financing, Summit entered into a co-funded clinical collaboration agreement with AstraZeneca to evaluate ivonescimab in combination with AstraZeneca’s sonesitatug vedotin (Sone-Ve), a Claudin 18.2-targeting antibody-drug conjugate, in gastrointestinal cancers. Under the agreement, AstraZeneca will sponsor the combination studies while both companies retain full commercial and development rights to their respective molecules.

“This significant investment, as well as the collaboration, is a powerful validation of the potential of ivonescimab,” said Robert W. Duggan, Chairman and Co-Chief Executive Officer of Summit Therapeutics. “We are proud to welcome AstraZeneca as a strategic investor as we continue to work with purposeful urgency to make a significant difference for patients with cancer.”

Summit President and Co-CEO Dr. Maky Zanganeh added that the developments open “an exciting new chapter in the advancement of ivonescimab,” allowing the company to explore novel combination strategies alongside leading ADC assets.
