Trump Media & Technology Group Corp. (NASDAQ:DJT) is trending Thursday after the company and TAE Technologies Inc. announced the filing of a Form S-4 registration statement with the SEC, advancing their previously announced merger.

TMTG Advances TAE Merger with Registration Filing

TMTG and TAE entered into an Agreement and Plan of Merger on December 18, 2025, structured as an all-stock business combination in which TMTG shareholders and TAE stockholders would each own approximately 50% of the combined company on a fully diluted basis. The combination pairs TMTG’s balance sheet with TAE’s applied research and technology portfolio, developed over nearly 30 years and commercialized through three business units: Fusion, Power Solutions, and Life Sciences. Once closed, the merger would create one of the world’s first publicly traded companies developing commercial fusion energy, positioning the combined entity to address growing demand for electricity, including power needs tied to artificial intelligence.

“With TAE, we see a differentiated, balanced risk profile with attractive growth opportunities,” said Kevin McGurn, Interim CEO of TMTG. “Today’s filing is a key step toward closing this merger and providing capital to fund TAE’s development of commercial fusion power.”

The registration statement includes a preliminary proxy statement and prospectus from TMTG, along with a consent solicitation statement from TAE. It has not yet been declared effective by the SEC, and no securities may be sold or offers accepted under the merger until that occurs.
