In return, Alpha Modus issued 51.62 million Class A shares. Investors also received warrants, which let holders buy stock at a fixed price, to purchase an additional 51.62 million shares at $4.36 each.

The deal also helps resolve a listing problem. Nasdaq notified Alpha Modus on April 6 that it no longer met its minimum net income, market value of listed securities or stockholders’ equity requirements.
The company submitted a plan and received an extension to regain compliance. According to the filing, the bitcoin transaction now puts its stockholders’ equity “well in excess of $200 million.”
